Welcome to Grounded Athletics. These Terms of Service ("Terms") govern your access to and use of the Grounded Athletics website, online store, products, services, and related features (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy and Return Policy, each of which is incorporated into these Terms by reference.

If you do not agree to these Terms, please do not access or use our Services.

Grounded Athletics reserves the right to update these Terms from time to time as described below.

1. ELIGIBILITY AND CUSTOMER ACCOUNTS

By using our Services, you represent that you are at least the age of majority in your state or province of residence, or that you are using the Services with the consent and supervision of a parent or legal guardian.

When you create an account or place an order, you agree to provide accurate, current, and complete information, including your name, email address, billing information, shipping address, and payment information.

You are responsible for maintaining the confidentiality of your account credentials and for all activity associated with your account.

You may not sell, transfer, assign, or otherwise provide your account to another person without our prior written permission.

Grounded Athletics reserves the right to suspend or terminate accounts that contain inaccurate information or that are used in violation of these Terms.

2. OUR PRODUCTS

Grounded Athletics sells athletic apparel and related products through our online store.

We make reasonable efforts to display product descriptions, photographs, colors, sizing information, and other product details as accurately as possible. However, the appearance of colors may vary depending on your device, screen settings, lighting, and other factors.

Product availability, pricing, specifications, colors, designs, and descriptions may change at any time without notice.

We reserve the right to discontinue products, modify products, or limit quantities available for purchase at our discretion.

Nothing in these Terms limits any consumer rights or remedies that cannot legally be excluded or limited under applicable law.

3. ORDERS AND ACCEPTANCE

When you place an order through our Services, you are submitting an offer to purchase the products in your order.

After you submit an order, you will receive an order confirmation email acknowledging that we received your order. Receipt of an order confirmation does not necessarily mean that Grounded Athletics has accepted your order.

Grounded Athletics reserves the right to accept, decline, limit, or cancel an order at our discretion, including when:

  • A product is unavailable;

  • There is an error in the product description or price;

  • We suspect fraudulent or unauthorized activity;

  • An order appears to be intended for unauthorized resale;

  • A technical or inventory error occurred; or

  • We are unable to fulfill the order for another legitimate reason.

If we cancel an order after payment has been received, we will refund the amount charged for the canceled portion of the order to the original payment method.

You are responsible for reviewing your order carefully before completing your purchase. We may be unable to accommodate cancellation requests after an order has entered processing or fulfillment.

All purchases are subject to our Return Policy.

Unless otherwise agreed by Grounded Athletics in writing, products purchased through our Services are intended for personal or household use and not for unauthorized resale.

4. PRICES, TAXES, AND PAYMENT

All prices displayed through our Services are subject to change without notice.

The price charged for a product will generally be the price displayed at the time you place your order and will be reflected in your order confirmation.

Unless otherwise stated, prices may not include applicable sales taxes, shipping charges, customs duties, or other applicable fees.

You agree to provide accurate and complete payment and billing information for all purchases.

By submitting payment information, you represent that you are authorized to use the payment method provided.

Grounded Athletics reserves the right to correct pricing, promotional, inventory, or other errors and to cancel or modify orders affected by such errors, including after an order has been submitted.

If an order is canceled due to a pricing or other material error, we will refund any payment received for the canceled order.

5. SHIPPING AND DELIVERY

Grounded Athletics will make reasonable efforts to process and ship orders within the processing times stated on our website or at checkout.

Shipping and delivery times are estimates and are not guaranteed unless expressly stated otherwise.

Once an order has been shipped, delivery may be affected by circumstances outside our reasonable control, including carrier delays, weather, natural disasters, customs processing, incorrect shipping information, or other transportation disruptions.

You are responsible for providing an accurate and complete shipping address.

Grounded Athletics is not responsible for delays resulting from incorrect addresses or information provided by the customer.

If your package appears to be lost, damaged, or incorrectly delivered, please contact us so that we can work with the applicable shipping carrier to investigate the issue.

Nothing in this section limits any rights or remedies that may apply to you under applicable law.

6. RETURNS AND REFUNDS

Our Return Policy governs all returns and refunds and is incorporated into these Terms by reference.

Grounded Athletics currently provides a 30-day return period, beginning on the date your order is delivered, subject to the conditions described in our Return Policy.

Generally, returned merchandise must be:

  • Unworn and unused;

  • In the same condition in which it was received;

  • Returned with original tags attached; and

  • Returned with proof of purchase or sufficient order information.

Items that have been worn, washed, altered, damaged, stained, or otherwise used may not qualify for a refund.

Unless the item is defective, damaged, or incorrectly shipped, the customer is responsible for applicable return shipping costs as described in our Return Policy.

Grounded Athletics does not currently offer direct exchanges. Customers who need a different size, color, or product should return the original item in accordance with our Return Policy and place a new order.

7. INTELLECTUAL PROPERTY

All content associated with Grounded Athletics, including but not limited to our name, logos, trademarks, designs, slogans, product designs, photographs, graphics, videos, written content, website design, and other materials, is owned by Grounded Athletics or used with permission from the applicable owner.

Except as expressly permitted by these Terms or applicable law, you may not reproduce, copy, modify, distribute, sell, license, publish, display, transmit, create derivative works from, or otherwise exploit our intellectual property without our prior written permission.

The Grounded Athletics name, logos, designs, slogans, and other brand identifiers may constitute trademarks or other protected intellectual property.

Nothing in these Terms grants you any ownership interest or license in Grounded Athletics intellectual property except for the limited right to access and use our Services for their intended purpose.

8. USER CONTENT AND REVIEWS

Our Services may allow customers to submit reviews, comments, photographs, feedback, or other content ("User Content").

By submitting User Content to Grounded Athletics, you grant us a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, publish, distribute, display, and otherwise use that User Content in connection with our business, including for marketing and promotional purposes.

You retain ownership of your User Content.

By submitting User Content, you represent that:

  • You own or have the necessary rights to submit the content;

  • The content does not violate the rights of another person or entity;

  • The content is not unlawful, fraudulent, defamatory, threatening, obscene, or otherwise inappropriate;

  • The content does not contain malicious code or other harmful material; and

  • The content does not falsely represent your identity or relationship with Grounded Athletics.

Grounded Athletics reserves the right to remove or refuse to publish User Content that we believe violates these Terms or applicable law.

We are not responsible for User Content submitted by customers or other third parties.

9. THIRD-PARTY SERVICES AND LINKS

Our Services may use third-party services, applications, payment processors, shipping providers, analytics services, social media platforms, or other third-party technology.

We do not control third-party services and are not responsible for their content, policies, availability, security, or practices.

Our website may also contain links to third-party websites.

If you access a third-party website or service through a link on our Services, you do so at your own risk and are subject to that third party's terms and policies.

10. SHOPIFY

Our online store is powered by Shopify, which provides the e-commerce platform that allows us to sell our products and provide our Services.

However, purchases made through our store are transactions between you and Grounded Athletics.

Shopify is not the seller of Grounded Athletics products and is not responsible for the products we sell, fulfillment of our orders, our Return Policy, or our customer service obligations.

Your use of Shopify-powered features may also be subject to Shopify's own terms and policies.

11. PROHIBITED ACTIVITIES

You may use our Services only for lawful purposes and in accordance with these Terms.

You agree not to:

  • Violate any applicable law or regulation;

  • Attempt to gain unauthorized access to our systems, accounts, or networks;

  • Interfere with the operation or security of our Services;

  • Upload or transmit malicious software, viruses, or harmful code;

  • Use our Services to commit fraud or facilitate fraudulent transactions;

  • Attempt to obtain products or services through unauthorized means;

12. ACCURACY OF INFORMATION

We strive to provide accurate information through our Services.

However, information on our website may occasionally contain typographical errors, inaccuracies, omissions, or outdated information relating to products, pricing, promotions, availability, shipping, or other matters.

Grounded Athletics reserves the right to correct errors and update information at any time.

We may cancel or modify an order if it was affected by a material error, including pricing or product information errors.

13. DISCLAIMERS

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

WE DO NOT GUARANTEE THAT OUR WEBSITE OR SERVICES WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE.

WE DO NOT WARRANT THAT INFORMATION PROVIDED THROUGH OUR SERVICES WILL ALWAYS BE COMPLETE, ACCURATE, OR CURRENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GROUNDED ATHLETICS DISCLAIMS IMPLIED WARRANTIES THAT MAY APPLY TO THE SERVICES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

THIS SECTION DOES NOT EXCLUDE OR LIMIT ANY WARRANTY, RIGHT, OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

14. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GROUNDED ATHLETICS AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES OR PURCHASE OF OUR PRODUCTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO A PARTICULAR PURCHASE OR CLAIM WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO GROUNDED ATHLETICS FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

THE LIMITATIONS IN THIS SECTION APPLY ONLY TO THE EXTENT PERMITTED BY APPLICABLE LAW AND DO NOT APPLY TO LIABILITY THAT CANNOT LEGALLY BE LIMITED OR EXCLUDED.

15. INDEMNIFICATION

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless Grounded Athletics and its owners, officers, employees, contractors, affiliates, service providers, and licensors from third-party claims, damages, liabilities, losses, and reasonable expenses arising from:

  1. Your violation of these Terms;

  2. Your unlawful use of our Services;

  3. Your violation of another person's rights; or

  4. Your User Content.

This obligation does not apply to the extent that a claim results from Grounded Athletics' own unlawful conduct or liability that cannot legally be shifted to you.

16. TERMINATION

Grounded Athletics may suspend or terminate your access to our Services at any time if we reasonably believe that you have violated these Terms, engaged in fraudulent or abusive activity, or otherwise misused our Services.

Termination will not affect any rights or obligations that arose before termination.

Sections that by their nature should survive termination, including provisions concerning intellectual property, User Content, disclaimers, limitations of liability, indemnification, governing law, and dispute-related provisions, will continue to apply after termination.

17. GOVERNING LAW AND VENUE

These Terms and any dispute arising out of or relating to these Terms or your use of the Services shall be governed by and interpreted in accordance with the laws of the State of Alaska, without regard to conflict-of-law principles, except to the extent that applicable federal law or mandatory consumer-protection laws require otherwise.

To the extent permitted by applicable law, any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought in a state or federal court located in Alaska, and you consent to the jurisdiction and venue of those courts.

Nothing in this section prevents a consumer from exercising rights that cannot legally be waived or from bringing a claim in a forum required by applicable law.

18. SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

19. NO WAIVER

If Grounded Athletics does not immediately enforce a provision of these Terms, that does not constitute a waiver of our right to enforce that provision in the future.

Any waiver must be made in writing by an authorized representative of Grounded Athletics.

20. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, Return Policy, Shipping Policy, and any other policies expressly incorporated by reference, constitute the agreement between you and Grounded Athletics regarding your use of our Services.

These Terms replace any prior or contemporaneous agreements or communications concerning the same subject matter.

21. ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

Grounded Athletics may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, sale of assets, business reorganization, or similar transaction.

22. CHANGES TO THESE TERMS

We may update these Terms from time to time.

When we make changes, we will update the "Last Updated" date at the beginning of these Terms and post the revised version on our website.

Material changes will be communicated in accordance with applicable law when required.

Your continued use of our Services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.
